Virtual Shop Manager Terms of Service

Please read these Terms carefully. These Terms are a binding agreement between Virtual Shop Manager LLC ("VSM," "we," "us," or "our") and the person or business using the Service ("Merchant," "you," or "your"). By installing, accessing, or using VSM, you agree to these Terms.

1. Eligibility and authority

You must be at least 18 years old and legally able to enter a contract. If you use VSM for a business, you represent that you are authorized to bind that business. If you do not agree to these Terms, do not install or use VSM.

2. The Service

VSM provides tools for supported retail and trading-card businesses, including catalog matching, inventory and listing review, alerts, approved Shopify updates, order-product sorting, and merchant-operated buylist workflows. Features may be added, changed, suspended, or discontinued as the Service evolves.

VSM is designed as a review-first operational tool. Recommendations, catalog matches, pricing information, alerts, and proposed changes may be incomplete or inaccurate. You are responsible for reviewing and approving business decisions and store changes before relying on or publishing them.

VSM provides reference pricing and alerts derived from third-party market information, including TCGplayer listing information when available. VSM does not determine, guarantee, or represent that any price is accurate, current, or appropriate for a merchant's business. Merchants independently confirm product matches, choose their own pricing percentages and risk tolerances, establish their own controls and guardrails, and authorize resulting store changes. VSM applies pricing instructions only within the settings and approvals supplied by the merchant.

Pricing references may combine third-party market data with VSM calculations. Where direct pricing is unavailable, VSM identifies estimated values separately; estimates are not verified market prices. For the specific source and calculation method used for an item, contact VSM support with the item and date. Source details are available on request; this does not include redistribution of raw provider datasets.

3. Accounts and Shopify authorization

You must provide accurate information and protect all credentials and devices used to access VSM. You are responsible for activity performed through your authorized account except to the extent caused by VSM's breach of these Terms.

You authorize VSM to access and process information from your Shopify store within the permissions you approve and to perform actions you direct through the Service. You may revoke Shopify authorization or uninstall the app, but doing so may disable VSM features. VSM is an independent service and is not endorsed by or affiliated with Shopify except through use of Shopify's platform and APIs.

Stock image controls. Saving the Use stock images switch applies its image preference to all product lines in the store. With the switch enabled, choosing and saving stock-image replacement authorizes VSM to replace the main image on listings with confirmed catalog matches, including older listings and store-uploaded photos, with the available catalog stock image. Replacement requires Shopify's optional Files permission. Existing images are preserved by default under the leave-existing choice. Images already using the stock source are left alone. The setting does not grant rights to third-party images; applicable product-line rights and third-party rights still apply. Turning off stock images or switching to leave existing and saving stops remaining work and does not reverse completed replacements. Uses of the same Shopify file share its updated content.

VSM supplies software and communication tools that allow a merchant to publish and administer its own buylist. VSM is not a buyer, seller, broker, agent, marketplace, payment processor, custodian, inspector, authenticator, carrier, or insurer, and is not a party to any offer or transaction between a merchant and its customer.

The merchant and customer alone decide and are responsible for eligibility, ownership, legality, authenticity, completeness, condition, valuation, acceptance, communications, payment, taxes and reporting, delivery or shipping instructions, packaging, insurance, loss or damage, returns, chargebacks, and disputes. VSM does not possess or take title to goods, inspect or authenticate goods, collect or hold transaction funds, arrange shipment, guarantee either party's performance, or decide a dispute.

A displayed buylist amount or submission is an estimate and is not a binding purchase offer unless the merchant expressly accepts it. The merchant may revise or reject an amount after inspection. Submitters must not ship or deliver items until the merchant provides acceptance and instructions. To the fullest extent permitted by law, VSM assumes no liability for goods, communications, decisions, payment, delivery, or the outcome of a merchant-customer transaction.

7. Fees, billing, taxes, and cancellation

VSM may offer free, trial, early-access, or paid plans. Paid app charges will be disclosed before approval and, when purchased through Shopify, are billed and managed through Shopify App Pricing or the Shopify Billing API. Plans may renew automatically for the period shown at purchase until canceled.

You may cancel through the available Shopify or VSM account controls. Cancellation stops future renewal but does not ordinarily create a refund for a current billing period, except where required by law, stated in the applicable plan, or processed under Shopify's billing rules. You are responsible for applicable taxes other than taxes based on VSM's net income.

We may change future pricing or plan features with notice required by law or Shopify's rules. Continued use after a pricing change takes effect constitutes acceptance only after any approval Shopify requires.

8. Ownership and licenses

VSM and its licensors retain all rights in the Service, software, interface, documentation, branding, and related technology. Subject to these Terms and payment of applicable fees, VSM grants you a limited, nonexclusive, nontransferable, revocable right to use the Service for your internal business operations.

You retain ownership of information and content you provide. You grant VSM a limited license to host, copy, process, transmit, and display that material only as reasonably needed to provide, secure, support, and improve the Service and comply with law. You grant VSM permission to use suggestions or feedback without restriction or payment, provided we do not identify you publicly without permission.

Third-party catalog facts, images, marks, and market information remain the property of their respective owners and may be subject to separate terms.

9. Privacy and data

Our Privacy Policy explains VSM's information practices. You authorize VSM to process merchant-directed data as needed to provide the Service. If privacy law requires a separate data processing agreement for your use, contact vsmmessages@gmail.com.

10. Third-party services

The Service interoperates with Shopify and may use hosting, email, catalog, market-data, and other third-party services. Those services may change, become unavailable, or be governed by separate terms. VSM is not responsible for a third party's acts, content, security, availability, or independent decisions.

11. Early-access features

Beta, preview, or early-access features may be incomplete, change without notice, contain errors, or be discontinued. Use them only after reviewing their limitations and maintaining appropriate safeguards. Feedback about early-access features helps VSM improve the Service.

12. Suspension and termination

You may stop using VSM and uninstall the Shopify app at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay applicable fees, misuse the Service, or if continued service becomes impracticable. When reasonable, we will provide notice and an opportunity to cure.

Upon termination, your license to use VSM ends. Provisions that by their nature should survive - including ownership, payment obligations, warranty disclaimers, liability limitations, indemnity, and dispute terms - will survive. Data is handled under the Privacy Policy and applicable Shopify requirements.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VSM DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

VSM does not guarantee catalog coverage, product identity, pricing, profitability, inventory accuracy, marketplace availability, tax treatment, legal compliance, or business results. Nothing in the Service is legal, tax, accounting, investment, appraisal, authentication, or other professional advice.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VSM AND ITS OWNER, PERSONNEL, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

VSM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VSM FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limits do not apply where prohibited by law or to liability that cannot legally be limited.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless VSM and its owner, personnel, contractors, and suppliers from third-party claims, losses, and reasonable costs arising from your products, store operations, content, buylist activities, violation of law or third-party rights, or material breach of these Terms. This obligation does not apply to the extent a claim was caused by VSM's own breach, gross negligence, or willful misconduct.

16. Governing law and disputes

South Carolina law governs these Terms without regard to conflict-of-law principles. Before filing a claim, each party will make a good-faith effort for at least 30 days to resolve the dispute informally by written notice. Unless applicable law requires otherwise, state and federal courts located in or serving Horry County, South Carolina will have exclusive jurisdiction, and each party consents to that venue.

17. Changes to these Terms

We may update these Terms to reflect changes in the Service, law, or business practices. We will post the revised Terms with an updated date and provide additional notice when required. Material changes will apply prospectively. Continuing to use the Service after revised Terms take effect means you accept them.

18. General

These Terms, the Privacy Policy, and any plan-specific terms are the entire agreement concerning the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without VSM's consent; VSM may assign them in connection with a merger, reorganization, financing, or transfer of the Service. Neither party is liable for delay caused by events beyond its reasonable control.
